RETREAT AGREEMENT

Retreat Agreement
This Retreat Agreement, hereinafter referred to as "Agreement," is made between the retreat organizer ("Organizer"), specifically as follows:

Attendance at the Retreat, as defined below, is subject to each of the terms and conditions contained within this Agreement, all parts and sub-parts of which are specifically incorporated by reference herein. By clicking "Purchase," "Confirm," "Attend," or undertaking any other affirmative action manifesting intent to attend the Retreat, including providing the Organizer with credit card or billing information to be charged for attendance at the Retreat, Participant acknowledges and agrees they are entering into a legally binding agreement with the Organizer.

THE PARTICIPANT AGREES TO BE BOUND AND ABIDE BY THIS AGREEMENT AND ANY AMENDMENTS THERETO. READ THIS AGREEMENT CAREFULLY BEFORE MANIFESTING ASSENT, ESPECIALLY SINCE THIS AGREEMENT MAY AFFECT PARTICIPANT’S LEGAL RIGHTS, SUCH AS REQUIRING BINDING INDIVIDUAL ARBITRATION, AND LIMITING THE PARTICIPANT’S RIGHT TO BRING A LAWSUIT OR CLASS ACTION.

The Organizer and Participants may be referred to individually as "Party" and collectively as the "Parties."

RETREAT TERMS: The details of the Retreat are listed in the event description above, to include location, dates, timelines, activities and cost. Further coordinating instructions are provided directly to attendees through email and phone correspondence.

Prices are listed in the event description and are non-negotiable. Refunds may apply, may vary and are included in the event description, to which the terms of this Agreement apply.

Additional details regarding the Retreat, such as included meals and amenities, transportation, etc., if applicable, will also be provided to Participants prior to full purchase or provided through emails and additional communications prior to the Retreat. Any such page is hereby incorporated by reference and shall be considered part and parcel of this Agreement.

CONFIRMATION: In order to purchase the Retreat package, the following steps must be taken:

Complete the RSVP form for each applicant via the LiboRisk website and submit the required payment as detailed in the event description. At the conclusion of these steps, Participants will receive a confirmation email which will outline the details of the completed registration. If a confirmation e-mail is not received within five (5) days of completing the registration, please contact the Organizer. The Organizer may request the provision of additional information, such as identification and travel information and/or additional forms and questionnaires. Participants hereby consent to receive all such correspondence related to the Retreat, including the itinerary.

Please be advised the itinerary is subject to change and may be modified by the Organizer at any time. You hereby acknowledge and agree that the Organizer has a right to do so for any reason, including, but not limited to, weather, third-party vendors or providers, and any local circumstances which the Organizer deems unfit for travel.

CODE OF CONDUCT: First and foremost, the retreat (the “Retreat”) is dedicated to providing a harassment-free experience for everyone. “Harassment” includes, but is not limited to offensive verbal comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, religion, technology choices, sexual images in public spaces, deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention. We do not tolerate harassment of Retreat participants in any form, including at talks, workshops, parties, on Twitter and other online media, by any party, including Retreat partners. Participants asked to stop any harassing behavior are expected to comply immediately. Participants violating these rules may be sanctioned or expelled from the Retreat without a refund at the discretion of the Retreat Organizers.

If Participants are harassed, notice that someone else is being harassed, or have any other concerns, please contact a member of retreat staff immediately. Retreat staff will be happy to help participants contact hotel/venue security or local law enforcement, provide escorts, or otherwise assist those experiencing harassment to feel safe for the duration of the experience. We value your attendance.

DOCUMENTATION: Please plan accordingly and do research in preparing for the Retreat. Participants are solely and exclusively responsible for maintaining up-to-date and valid travel documentation, such as a valid passport or other domestic identification, as well as any required and applicable immunizations or other required documentation for the international location of the Retreat. Organizer is not liable or responsible if Participants are denied entry or exit to or from the international location where the Retreat will be held based on lack of adequate documentation or immunizations.

INSURANCE: All Participants are strongly encouraged to purchase and maintain travel insurance during the entire length of the Retreat (including through your return date). Participants that choose to purchase coverage are individually responsible for paying for travel insurance and ensuring adequate coverage. Coverage should ideally include, but not be limited to: illness, injury, property damage, loss of personal items, death, cancellation and any other potential losses, damages, expenses, and/or liabilities. Within is not responsible or liable for any loss, damage, expense, cost, or any other travel issue.

TRAVEL & MEALS: All Participants are responsible for their own travel costs to and from the Retreat. Participants will be informed on the meals that they are responsible for for each Retreat. It is your responsibility to read directions thoroughly and prepare any meals, if required for the Retreat. Should Participants have any dietary restrictions that need accommodation, Participants are required to share said dietary restrictions with the Organizer within six (6) weeks of the start date of the Retreat. Participants understand that, should a Participant delay in sharing any dietary restrictions after the six (6) week period, the Organizer cannot guarantee that their dietary restrictions will be accommodated. The Organizer and any chefs or caterers participating in Retreat shall not be held liable for any illness or allergic reaction to any food items provided during the Retreat.

CONSUMPTION OF ALCOHOL: Alcohol may be available for consumption at the Retreat. Participants understand and confirm that alcohol consumption shall be at their own discretion, risk and liability, and that Participants will be required to produce government-issued photo identification prior to being served any alcohol. Participants understand that the Organizer reserves the right to excuse any Participant from the Retreat if they become inebriated and misbehave or have the potential to cause harm to themself or any other person or persons. If a Participant is excused from the Retreat pursuant to this section, it shall be without any sort of refund or reimbursement by the Organizer. Participants hereby assume all risk involved with the consumption of alcohol and unconditionally hold Organizer harmless.

HEALTH OF PARTICIPANT: Participation in the Retreat indicates acknowledgment and agreement with the following statements:

It is the Participant’s responsibility to consult a physician before participating in this Retreat to ensure eligibility for strenuous physical activity and Participant affirms that they have no medical conditions that would restrict Participant from participating in physical activities.

The Participant agrees that if they experience any medical issues while attending the Retreat, they will contact their doctor immediately.

Participant understands and agrees that it is their responsibility to let the Organizer know if the Participant finds themselves in any pain or discomfort before, after, or during the Retreat.

Participant agrees to keep the Organizer apprised of any changes or upcoming changes concerning the Participant’s physical health and/or personal information.

Participant agrees and verifies that all of the information that Participant has given the Organizer and its representatives is accurate, up-to-date, and without the omission of any known medical issues.

Participant agrees and verifies that if Participant has omitted any necessary personal information, whether knowingly or unknowingly, Participant will hold the Organizer harmless against all liability for any damages that may occur to Participant or to others because of Participant’s actions or inactions.

If Participant does require medical treatment or attention while or after participating in the Retreat, Participant authorizes the Organizer to provide to Participant, through medical personnel of the Organizer’s choice, customary medical assistance, transportation, and emergency medical services. This consent does not impose a duty upon the Organizer to provide such assistance, transportation, or services. Participant agrees that they alone are responsible for the payment of any medical costs and agrees to hold Within blameless from any charges, fees, or costs that Participant’s conditions may incur. PARTICIPANT ACKNOWLEDGES THAT ANY INJURIES THAT THEY MAY SUSTAIN MAY BE COMPOUNDED BY NEGLIGENT FIRST AID OR EMERGENCY RESPONSE OF THE RELEASED PARTIES OR OTHER INDIVIDUALS OR MEDICAL OR EMERGENCY PERSONNEL.

Participant understands and agrees that the Organizer shall attempt to reach the Emergency Contact listed above should Participant require medical attention or treatment, but in the event the Organizer cannot reach that contact and authorizes medical treatment, in no way shall the Organizer be liable for any harm that may arise from the lack of contact or any medical treatment authorized without input from the Emergency Contact.

Participant specifically acknowledges and agrees that these clauses are not intended to be a general release, which would be limited under some state and local laws.

VOLUNTARY PHYSICAL PARTICIPATION: Participant hereby acknowledges and agrees that they will voluntarily be participating in certain physical activities ("Physical Activities") on the Retreat. The Physical Activities may include, but are not limited to: walking, swimming, hiking, biking, yoga, fitness activities, climbing, or other types of strenuous physical activities. Participant understands and is aware that participation in the Physical Activities involves risks. These risks may lead to tangible or intangible harm, and Participant agrees that they may result not only from their own actions but also from the actions of others. With the knowledge and understanding of these risks, Participant chooses, of their own will and volition, to continue participating in the Physical Activities. Participant also acknowledges and agrees that there are risks that they may not have considered, yet they waive their right to any claims that may occur from these unconsidered risks and choose, of their own will and volition, to participate in the Physical Activities.

Participant acknowledges and agrees that by attending the Retreat they consent to waive certain legal rights, including the right to sue the Organizer, and, if applicable, its owners, employees, agents, trainers, representatives, and facilities from any physical, material, tangible or intangible, loss or damages that may happen to Participant during participation in any of the Physical Activities undertaken while under their instruction or thereafter.

ASSUMPTION OF THE RISK: Participant acknowledges and understands that during the Retreat, they may be exposed to a variety of liabilities and risks, foreseen or unforeseen, which are inherent in outdoor activities and retreats. Additionally, Participant acknowledges that the international location of the Retreat may be a location where the political, health, cultural and geographical attributes present additional inherent risks greater than those present in Participant’s daily life. These inherent risks include, but are not limited to, negative treatment by foreign third parties unaffiliated with the Organizer , as well as the dangers of serious personal injury, death and property damage resulting from, but not limited to: physical exercise and exertion; physical contact with other participants or third parties; falling or tripping due to environmental hazards, uneven surfaces, or debris; other health hazards associated with physical activity and outdoor events; injury or death resulting from exposure to unfavorable weather conditions; and hazards related to catering, including but not limited to food sickness, allergic reactions, choking (collectively the “Injuries and Damages”).

Participant further acknowledges and understands that these Injuries and Damages cannot be entirely eliminated. Participant fully understands and agrees that the Organizer has not tried to contradict or minimize their understanding of these risks. Participant understands that Injuries and Damages can occur by natural causes or activities of other persons, environmental circumstances, staff of Within or other third parties, either as a result of negligence or because of other reasons. Participant understands that third parties cannot necessarily be controlled, and that Participant’s safety, physical health, or emotional wellbeing cannot be guaranteed while participating in the Retreat and related activities

WAIVER OF LIABILITY FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE: In acknowledging the foregoing ASSUMPTION OF THE RISK section, PARTICIPANT CONFIRMS UNDERSTANDING OF THE FOLLOWING: To the fullest extent allowed by law, PARTICIPANT AGREES TO WAIVE AND DISCHARGE CLAIMS AGAINST, RELEASE FROM LIABILITY, INDEMNIFY, AND HOLD HARMLESS THE COMPANY and its parents, subsidiaries and affiliates and their respective past and present officers, directors, stockholders, managers, members, partners, agents and employees (collectively, “Released Parties”) from and against ANY AND ALL LIABILITY on account of, or in any way resulting from, any death or personal injury relating to participation in the Retreat, even if caused by NEGLIGENCE of the Released Parties; Such negligence could involve negligent assessment of the Retreat’s feasibility in a given area and/or location. Participant understands and intends that the assumption of risk and release is binding upon their heirs, executors, administrators and assignors. This waiver and release is intended to be as broad and inclusive as is permitted by law.

RELEASE OF LIABILITY: Participants hereby release the Organizer, as well as any of Organizer's affiliates, licensors, suppliers, subsidiaries, parents or other legal representatives, from any claims, demands, damages or other legal action which may arise from Participant’s dispute with any other Participant.

WAIVER OF UNKNOWN CLAIMS: Participant has read Section 1542 of the California Civil Code, which provides as follows:

A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.

Participant understands that Section 1542 allows that Participant not to release existing claims of which the Participant is presently unaware, unless the Participant voluntarily chooses to waive this right. Having been so apprised, Participant nevertheless hereby voluntarily elects to, and does, waive the rights described in Section 1542, and elects to assume all rights for claims that now exist in the Participant’s favor, known or unknown, for the subject of this Agreement.

USE AND REGISTRATION TO OF WEBSITE: Participants agree not to use the Website or Retreat for any unlawful purpose or any purpose prohibited under this clause. Participants agree not to undertake any action which may damage the Organizer in any way.
Participants further agree not to use the Website or Retreat:

(a) To harass, abuse, or threaten others or otherwise violate any person's legal rights;
(b) To violate any intellectual property rights of the Organizer or any third party;
(c) To upload or otherwise disseminate any computer viruses or other software that may damage the property of another;
(d) To perpetrate any fraud;
(e) To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
(f) To publish or distribute any obscene or defamatory material;
(g) To publish or distribute any material that incites violence, hate, or discrimination towards any group;
(h) To unlawfully gather information about others.

Participants may be asked to register to use the Organizer's Website. Participants will choose a unique identifier and password and are responsible for ensuring the continued accuracy, security, and confidentiality of this information. Participants may also be asked to provide billing information, which will be subject to the same requirements of accuracy, security, and confidentiality. Providing false or inaccurate information, or using the Website to further fraud or unlawful activity is grounds for immediate termination of this Agreement.

MEDIA RELEASE: Participant understands and agrees that the Organizer may collect, record, publish, post, transmit, and/or display your name, image and likeness and quotes, and testimonial (this includes name, biographical information, likeness, portrait, image, picture, voice, quotes, all or parts of interviews and information obtained from interviews) (collectively the “Media”) for any purpose. Participant hereby voluntarily releases and holds harmless the Organizer, its directors, employees, and agents acting officially or otherwise, from all manner of suits, actions, claims, demands, and liabilities which may arise from such Media participation. This release applies to any and all media known, and hereafter devised, in perpetuity throughout the universe. Participant understands that all media remains the property of the Organizer, and waives all rights to original Media, copies of Media, royalties, entitlements, payments, or any other compensation or quid pro benefits which might arise from the Organizer’s acquisition, storage, display, publication, posting, or distribution of media as described herein. Participant understands that this Agreement constitutes a full and complete waiver of all possible claims of any nature whatsoever, including claims of negligence, personal injury or property loss, or damage, arising out of said Media participation.

Participant acknowledges and agrees that before and during the Retreat, Participant may be subject to photographs, video, sound recordings, or other media captures of their face, name, voice, or likeness. In consideration for participation in the Retreat, Participant hereby and irrevocably consents to the use, publication, distribution, broadcasting, reproduction, live-streaming, editing, recording, posting, copyrighting, licensing, digitization, and/or re-release of the Released Media, as defined below, by the Organizer, as well as any employees, affiliates, associates, representatives, or agents (collectively referred to as the "Release Receiver") for any legal reason or purpose, including but not limited to social media, commercial products, education, course materials, video footage, sales, marketing, or any other medium in any form that has been or will be invented. The Released Media will include, but is not limited to, all photographs, videos, sound recordings, paintings, sculptures, and all other media currently known or hereinafter developed, captured of Participant or Participant’s likeness before and during the Retreat by the Release Receiver.

Participant hereby releases the Release Receiver from any and all claims and demands arising out of or in connection with any use of the Released Media, including, without limitation, claims for privacy violations, right of publicity claims, defamation and/or any other intellectual property rights. Participant wil claim no ownership of the Released Media and forego any opportunity, whether past or present, to copyright or trademark the Released Media. Participant gives consent to the use of this Released Media while knowing and understanding that their name, comments, and other identifying factors may be revealed to the general public. However, the Release Receiver may not make known to any party in any medium Participant’s known or previously known location, email or physical address, or any other contact details, such as phone number.

INTELLECTUAL PROPERTY: Participants acknowledge and agree that the Organizer's name, services, and any logos, designs, text, graphics, software, content, files, materials, and any other intellectual property rights contained therein, including without limitation, any copyrights, patents, trademarks, proprietary or other rights arising thereof, are owned by the Organizer or its affiliates, licensors, or suppliers. Guest acknowledges and agrees that the source and object code of the Website and the format, directories, queries, algorithms, structure, and organization of the same are the intellectual property, proprietary, and confidential information of the Organizer and its affiliates, licensors, and suppliers.
Participants expressly agree not to do anything inconsistent with the Organizer's ownership of all of the intellectual property discussed herein. Participants further agree that there are no rights, title, or interest in or to any of the Organizer's Intellectual property. In addition, Participants are not conveyed any right or license by implication, estoppel, or otherwise in or under any patent, trademark, copyright, or other proprietary rights of the Organizer or any third party.

INDEMNIFICATION: Participant shall defend indemnify and hold harmless the Ogranizer, including affiliates and each of their respective officers, directors, shareholders, employees, representatives, agents, successors and assigns from and against all claims of third parties, and all associated losses, to the extent arising out of (a) The Organizer’s gross negligence or willful misconduct in performing any of its obligations under this Agreement, or (b) a material breach by the Organizer of any of its representations, warranties, covenants or obligations under this Agreement. The Participant agrees to defend and indemnify the Organizer and any of its affiliates (if applicable) and hold them harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to the Participant’s use or misuse of the Website, the Participant’s attendance at the Retreat, Participant’s breach of this Agreement, or Participant’s conduct or actions. The Participant agrees that the Organizer shall be able to select its own legal counsel and may participate in its own defense, if so desired.

NON-ASSIGNMENT. Participant may not sell, assign, or transfer any of its rights or obligations hereunder, and any attempt to sell, assign, or transfer such rights or obligations without the Company’s prior written approval will be null and void. All terms and conditions in this Agreement will be binding upon and inure to the benefit of the parties hereto and their respective permitted transferees, successors, and assigns.

ENTIRE AGREEMENT: This Agreement will constitute the entire agreement of the Parties with respect to the subject matter hereof and supersedes all previous communications, representations, understandings, and agreements, either oral or written, between the Parties with respect to the subject matter of this Agreement. The Agreement may be executed in counterparts, each of which will be an original, and all of which together will constitute one and the same document. No modification of these Terms will be binding unless in writing and signed by both Parties. If any provision herein is held to be unenforceable, the remaining provisions will remain in full force and effect. All rights and remedies hereunder are cumulative.

SEVERABILITY & NON-WAIVER: If any provision of this Agreement is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire Agreement will be severable and remain in effect. Any failure by Within to require Participant’s performance of any provision in this Agreement shall not affect Within Participant’s rights at any time thereafter, nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breach or default or a waiver of the provision itself. All rights and remedies hereunder are cumulative.: If any part or subpart of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.

DISPUTE RESOLUTION: In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the county and state noted in the GOVERNING LAW provision of this Agreement. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing federal law as well as the law of California. Each Party shall pay their own costs and fees. Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by the Organizer will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.

GOVERNING LAW: This Agreement will be governed by the laws of the United States of America and all disputes will be brought solely in the courts of San Diego County. The Organizer and Participant agree that any claims, legal proceedings, or litigation arising in connection with this Agreement will be brought solely in the courts of the county of San Diego, California, and the parties consent to the jurisdiction of such courts.

TERMINATION: This Retreat Agreement shall continue until canceled as specified above by either Party or until the Guest attends and completes the Retreat. Any provision of this Agreement which by its terms imposes continuing obligations on either of the parties shall survive termination of this Agreement.
